Terms of Service

Welcome to Murmur Messaging ("Murmur," "we," "us," or "our"), a product of Front Street Software LLC, a Wyoming limited liability company. By accessing, browsing, or using Murmur Messaging in any manner, including but not limited to visiting the website, creating an account, or sending or receiving messages through the platform (collectively, the "Service"), you ("you," "your," or "User") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old. We do not knowingly allow anyone under the age of 18 to create an account or use the Service. We reserve the right to request proof of age at any time and to terminate accounts that do not meet this requirement.

2. Description of Service

Murmur Messaging is a web-based messaging application that allows users to send and receive messages. We reserve the right, at our sole discretion, to modify, update, suspend, limit, or discontinue the Service or any feature or component thereof, temporarily or permanently, at any time, with or without notice, and without liability to you or any third party.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the confidentiality of your login credentials; and (d) accept full responsibility for all activities that occur under your account.

You must notify us immediately at contact@frontstreetsoftware.com upon becoming aware of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with this section.

4. Acceptable Use Policy

You agree that you will not, directly or indirectly:

Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms or by any applicable local, state, national, or international law or regulation;
Send, distribute, or facilitate the distribution of spam, unsolicited messages, chain letters, or bulk communications of any kind;
Harass, threaten, stalk, abuse, defame, impersonate, or intimidate any person or entity;
Transmit any material that contains viruses, trojan horses, worms, time bombs, ransomware, spyware, adware, or any other malicious or harmful code;
Attempt to gain unauthorized access to the Service, other user accounts, or any servers, networks, or systems connected to the Service;
Interfere with, disrupt, degrade, or impair the integrity, performance, or availability of the Service or any related infrastructure;
Use the Service to distribute, store, or transmit content that is hateful, defamatory, obscene, sexually explicit, or otherwise objectionable;
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of the Service;
Use any automated means, including bots, crawlers, scrapers, or similar tools, to access, collect data from, or interact with the Service without our prior written consent;
Sell, resell, sublicense, rent, lease, or otherwise commercially exploit access to the Service or any data obtained from it without our express written permission;
Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or displayed by the Service.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, with or without notice.

5. User Content

You retain all ownership rights in the content you create, upload, transmit, or display through the Service ("User Content"). By submitting User Content, you grant Front Street Software LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, transmit, and display your User Content solely as necessary to operate, maintain, and provide the Service. This license terminates when you delete your User Content or your account, except to the extent that: (a) your content has been shared with other users who have not deleted it; or (b) a reasonable period is required for removal from backups and archival systems.

You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit your User Content; and (b) your User Content does not infringe, misappropriate, or violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

We do not monitor, endorse, or assume any responsibility for User Content. We reserve the right, but have no obligation, to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms.

6. Data Collection, Privacy, and Message Storage

We collect certain personal data, including your name, email address, and account credentials. We also use web cookies to support the functionality of the Service. Messages sent through the Service are stored as plain text in our database and are not currently encrypted at rest. For full details on our data practices, please refer to our Privacy Policy.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Service, including but not limited to its software, code, design, text, graphics, logos, trademarks, trade names, user interface, and all related materials (collectively, "Murmur IP"), is the exclusive property of Front Street Software LLC or its licensors and is protected by United States and international intellectual property laws.

No right, title, or interest in any Murmur IP is transferred to you by these Terms or your use of the Service. You may not copy, reproduce, modify, distribute, display, perform, create derivative works from, or otherwise exploit any Murmur IP without the prior express written consent of Front Street Software LLC.

8. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, applications, or services ("Third-Party Services"). We do not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and policies of those third parties. We shall have no liability for any damages or losses arising from your use of or reliance on any Third-Party Services.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FRONT STREET SOFTWARE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE THAT MESSAGES SENT THROUGH THE SERVICE ARE STORED AS PLAIN TEXT AND ARE NOT CURRENTLY ENCRYPTED AT REST. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY RISK ASSOCIATED WITH THE STORAGE AND TRANSMISSION OF YOUR MESSAGES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FRONT STREET SOFTWARE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE), EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification and Hold Harmless

You agree to indemnify, defend, and hold harmless Front Street Software LLC and its officers, directors, members, managers, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, judgments, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, and costs of settlement) arising out of or relating to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law, rule, or regulation; (e) your violation or infringement of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights; or (f) any claim that your User Content caused damage to a third party.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any such claim without our prior written consent.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

12.1 Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@frontstreetsoftware.com and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved exclusively through final and binding arbitration, rather than in court. The arbitration shall be administered by a mutually agreed-upon arbitration provider, or if the parties cannot agree, by a provider selected under Wyoming law. The arbitration shall be conducted in the State of Wyoming. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST FRONT STREET SOFTWARE LLC.

12.4 Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

13. Termination

We may, in our sole discretion, suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: (a) violation of these Terms; (b) conduct that we determine is harmful to other users, us, or third parties; (c) suspected fraudulent, abusive, or illegal activity; or (d) extended inactivity.

You may terminate your account at any time by following the account deletion process within the Service or by contacting us at contact@frontstreetsoftware.com.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data and User Content, subject to our Privacy Policy and any legal obligations; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (User Content licenses), 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification and Hold Harmless), 12 (Dispute Resolution and Arbitration), and 15 (General Provisions).

14. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Wyoming.

15. General Provisions

15.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Front Street Software LLC with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

15.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

15.3 Waiver: The failure of Front Street Software LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Front Street Software LLC.

15.4 Assignment: You may not assign or transfer these Terms without our prior written consent. Front Street Software LLC may freely assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

15.5 Force Majeure: Front Street Software LLC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, power failures, internet or telecommunications failures, or cyberattacks.

15.6 Notices: We may provide notices to you via email to the address associated with your account or by posting on the Service. Notices from you to us must be sent to contact@frontstreetsoftware.com.

15.7 No Third-Party Beneficiaries: These Terms do not confer any rights or remedies upon any person or entity other than you and Front Street Software LLC, except that the Indemnified Parties are express third-party beneficiaries of Section 11.

15.8 Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and delete your account.
